Whistleblower Policy and Procedures
Reporting Accounting and Auditing Matters or Violations of Law
This policy and the related procedures apply to all employees of
Met-Pro Corporation.
General Policy
It is the Company’s policy that any employee aware of, or suspecting, a breach of Met-Pro’s Code of Business Conduct and Ethics that in any way involves the Company’s financial statements or accounting practices or any other violation of law, must report it immediately.
Reporting Procedures for Accounting and Auditing Matters
Met-Pro is committed to achieving and maintaining compliance with all applicable securities laws and regulations, accounting standards, accounting controls and audit practices. The Audit Committee will oversee treatment of employee concerns in this area.
In order to facilitate the reporting of employee complaints, the Audit Committee has established the following procedures for the anonymous submission, receipt, retention and treatment of workplace financial concerns such as accounting discrepancies, fraud, accounting misrepresentations, auditing matters, accounting omissions, ethics violations or any other financially related concerns ("Accounting Matters").
Reporting Procedures
Employees may report their concerns regarding Accounting Matters directly to the Company’s Audit Committee, the Company’s General Counsel, or make an anonymous report via third party provider MySafeWorkplace by calling the toll free number 1-800-461-9330 or through the Internet at www.MySafeWorkplace.com. This anonymous
and confidential incident reporting system is not affiliated with
Met-Pro Corporation.
Investigation
Employee reports on Accounting Matters will be investigated under the supervision of the Audit Committee, General Counsel, or other persons
as the Audit Committee determines to be appropriate from time to
time. Employees are expected to cooperate in the investigation of
reported violations.
No Retaliation
The Company will not discharge, demote, suspend, threaten, harass or in any manner discriminate against any employee based upon any lawful actions of such employee with respect to good faith reporting of complaints regarding Accounting Matters or otherwise as specified in Section 806 of the Sarbanes-Oxley Act of 2002.
Reporting Procedures for Other Types of Ethics Violations
or Misconduct
To report any other type of ethics violations or misconduct employees should report it in the first instance to a Human Resources representative or to the appropriate level of management. If employees are still concerned after speaking with a Human Resources representative and/or the appropriate level of management, or feel uncomfortable speaking with them, an anonymous report can be made via third party provider MySafeWorkplace by calling the toll free number 1-800-461-9330 or through the Internet at www.MySafeWorkplace.com. If this procedure
does not function correctly, employees may contact the Corporate Office or anonymously send a note, with relevant documents to, Met-Pro Corporation, 160 Cassell Road, Harleysville, PA 19438, Attention: Chief Executive Officer. If requested employee letters will be dealt with anonymously and confidentially, to the extent reasonably possible. |
